3.3 Changes in scope
Work outside the agreed scope may require a revised estimate and additional fees. We will confirm material changes before proceeding where reasonably practical.
4. Payments
- Fees, payment schedules, and methods are as agreed in writing
- Invoices are due by the stated due date unless otherwise agreed
- Late payments may result in suspension of work or delivery hold
- Taxes (including GST where applicable) may be added as required by law
5. Intellectual Property
Unless otherwise agreed in writing, XenHelp retains ownership of pre-existing tools, frameworks, libraries, and know-how used in delivering a project. Upon full payment, you receive the agreed licence or ownership rights to the final deliverables as specified in your service agreement.
Website content (text, graphics, logos, and layout) owned by XenHelp is protected by intellectual property laws. You may not reproduce it for commercial use without permission.
6. Confidentiality
Both parties agree to keep confidential any non-public business information shared during an engagement, except where disclosure is required by law or already public through no fault of the receiving party.
7. Third-Party Services
Projects may rely on third-party platforms, plugins, APIs, hosting, or software. XenHelp is not responsible for outages, policy changes, pricing changes, or limitations imposed by third parties. Licence fees for third-party products are your responsibility unless expressly included.
8. Disclaimer of Warranties
The website and general information on it are provided “as is” without warranties of any kind, express or implied. We do not warrant that the website will be uninterrupted, error-free, or free from harmful components. Service warranties for contracted work are limited to those stated in your specific agreement.
9. Limitation of Liability
To the maximum extent permitted by law, XenHelp shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or business opportunity, arising from use of the website or our services. Our total liability for any claim related to a project shall not exceed the fees paid to us for that project in the three (3) months preceding the claim.

You agree to indemnify and hold XenHelp harmless from claims, losses, and expenses arising from your misuse of the website, breach of these Terms, or content/materials you supply that infringe third-party rights.
11. Termination
We may suspend or terminate access to the website or pause service delivery if you breach these Terms or fail to meet payment obligations. Provisions that by nature should survive (including IP, confidentiality, liability, and indemnity) will continue after termination.

13. Governing Law
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Courts of competent jurisdiction in India shall have exclusive jurisdiction, unless otherwise agreed in a signed service contract.
